Explanation of Responses:

1. Included in the total are 787 restricted stock units ("RSUs") awarded on February 27, 2019 pursuant to the Assured Guaranty Ltd. 2004 Long-Term Incentive Plan (the "Plan"). These RSUs vest on the fourth anniversary of the date of the award. Upon vesting, one (1) common share will be delivered for each vested RSU.

2. Included in the total are 1,741 RSUs awarded on February 26, 2020 pursuant to the Plan. These RSUs vest as follows: 1/2 on the third anniversary of the date of the award and 1/2 on the fourth anniversary of the date of the award. Upon vesting, one (1) common share will be delivered for each vested RSU.

3. Included in the total are 2,556 RSUs awarded on February 24, 2021 pursuant to the Plan. These RSUs vest as follows: 1/3 on the second anniversary of the date of the award, 1/3 on the third anniversary of the date of the award and 1/3 on the fourth anniversary of the date of the award. Upon vesting, one (1) common share will be delivered for each vested RSU.

4. Included in the total are 3,528 RSUs awarded on February 23, 2022 pursuant to the Plan. These RSUs vest as follows: 1/4 on the first anniversary of the date of the award, 1/4 on the second anniversary of the date of the award, 1/4 on the third anniversary of the date of the award and 1/4 on the fourth anniversary of the date of the award. Upon vesting, one (1) common share will be delivered for each vested RSU.

5. Included in the total are 2,672 RSUs awarded on February 7, 2022 pursuant to the Plan. With limited exceptions, the RSUs vest on February 7, 2026, assuming that the holder remains employed at such time. Upon vesting, one (1) common share will be delivered for each vested RSU.
