| Item 4. | Purpose of Transaction |
Item 4 is hereby amended to add the following:
On January 17, 2025, the Reporting Person entered into a Confidentiality and Non-Disclosure Agreement (the "Confidentiality Agreement") with the Issuer to enable further discussions with respect to the Issuer and a possible business relationship or transaction between the parties. The Confidentiality Agreement includes customary standstill provisions, including but not limited to restrictions on the Reporting Person acquiring additional equity securities of the Issuer, effective for eight months from the date of the Confidentiality Agreement or until the earlier termination of the Confidentiality Agreement in accordance with its terms. | |
