Explanation of Responses:

1. Reflects an award of service-based restricted stock units that are convertible into shares of issuer's common stock on a one-for-one basis. The units will vest in four equal installments on March 1 of 2022, 2023, 2024, and 2025, subject to certain exceptions. Dividend equivalents will accrue under this award and be paid in cash upon vesting.

2. Price is not applicable.

3. Includes shares acquired pursuant to a dividend reinvestment feature of the issuer's service-based restricted stock units.
