1. Mr. Lamy is voluntarily reporting the acquisition of these shares on June 28, 2024 pursuant to the Akero Therapeutics, Inc. 2019 Employee Stock Purchase Plan in a transaction that was exempt under both Rule 16b-3(c) and Rule 16b-3(d).

2. In accordance with the provisions of the Akero Therapeutics, Inc. 2019 Employee Stock Purchase Plan, these shares were purchased at 85% of the closing price of the Issuer's common stock on June 28, 2024.
