Item 1.01 Entry into a Material Definitive Agreement.
On November 29, 2005, Registrant announced that Frank Bisignano will join JPMorgan Chase & Co. as Chief Administrative Officer. In connection with this appointment, on November 30, 2005 Mr. Bisignano and Registrant entered into a letter agreement concerning his employment. The letter agreement is attached hereto as Exhibit 10.1.
