Item 8.01. Other Events
On October 23, 2013, the Company closed a public offering of an additional $500,000,000 aggregate principal amount of its 5.625% Subordinated Notes due 2043 (the “Subordinated Notes”). The additional Subordinated Notes have the same terms as, and are fungible with, the 5.625% Subordinated Notes due 2043 previously issued on August 21, 2013, but were offered at a different offering price. After giving effect to the closing, the total aggregate amount of Subordinated Notes issued of this series is $1,250,000,000. The additional Subordinated Notes were registered under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3 (File No. 333-191692). In connection with this offering, the legal opinion as to the legality of the additional Subordinated Notes is being filed as Exhibit 5.1 to this report.
