On July 23, 2018, JPMorgan Chase & Co. closed public offerings of (i) $2,250,000,000 aggregate principal amount ofFixed-to-Floating Rate Notes due 2024, $2,250,000,000 aggregate principal amount ofFixed-to-Floating Rate Notes due 2029 and $1,000,000,000 aggregate principal amount of Floating Rate Notes due 2024, (ii) an additional $250,000,000 aggregate principal amount ofFixed-to-Floating Rate Notes due 2029 and (iii) an additional $250,000,000 aggregate principal amount ofFixed-to-Floating Rate Notes due 2024 (collectively, the “Notes”). The Notes were registered under the Securities Act of 1933, as amended, pursuant to a registration statement onForm S-3 (FileNo. 333-209681), as amended. In connection with this offering, the legal opinions as to the legality of the Notes are being filed as Exhibits 5.1, 5.2 and 5.3 to this report.
