Explanation of Responses:

1. The shares of Class A Common Stock are convertible into share of Class B Common Stock at any time at the option of the holder on a one-for-one basis, and have no expiration date. Each share of Class B Common Stock is entitled to the same rightsapplicable to each share of Class A Common Stock, except each share of Class B Common Stock is entitled to one (1) vote whereas each share of Class A Common Stock is entitled to ten (10) votes on all matters submitted to a vote of stockholders of the Issuer.

2. Shares were sold in the open market.

3. King Bliss, a company incorporated in the British Virgin Islands, is the record holder of the securities reported herein. Mr. Zilong Zhao is the sole shareholder and director of King Bliss and as such, has investment control over the shares held by KingBliss and as such, may be deemed the beneficial owner of such shares. Mr. Zilong Zhao disclaims beneficial ownership of the shares held by King Bliss, except to the extent of such person's pecuniary interest therein.
