Explanation of Responses:

1. Shares purchased pursuant to the Burke & Herbert Financial Services Corp. 2023 Employee Stock Purchase Plan ("ESPP"), for the ESPP purchase period of September 1, 2023, through February 29, 2024. In accordance with the ESPP, these shares were purchased at a price equal to 85% of the closing price of the issuer's common stock on September 1, 2023, which was the lower end of day closing price of either the start date or end date of the applicable purchase period.

2. The original Form 4, filed on March 4, 2024, is being amended solely to correct a reporting error, showing beneficial ownership of 2,770 shares of common stock following the transaction, when in fact, the beneficial ownership should have been reported as 185 shares.
