(3) | Represents an aggregate 1,283,783 increase in the number of shares reserved for issuance under the Plan, including 687,718 shares that were automatically added to the shares reserved for issuance on January 1, 2023 and 596,065 shares that were automatically added to the shares reserved for issuance on January 1, 2024 pursuant to an “evergreen” provision contained in the Plan. Pursuant to such provision, the number of shares reserved for issuance under the Plan automatically increases on January 1 of each year, starting on January 1, 2022 and continuing through January 1, 2031, by the lesser of (i) 1,000,000 shares, (ii) 1.5% of the outstanding shares on the immediately preceding December 31st, or (iii) a lesser amount determined by the Company’s Board of Directors or Compensation Committee of the Board of Directors. |
