Explanation of Responses:

1. The total reported is comprised of: (i) 2,798 shares of common stock; (ii) an award of restricted stock units granted to the reporting person on March 8, 2021, all remaining 166 shares of which are scheduled to vest on March 8, 2024; (iii) an award of restricted stock units granted to the reporting person on July 1, 2021, of which 156 shares are scheduled to vest on each of July 1, 2023 and July 1, 2024; (iv) an award of restricted stock units granted to the reporting person on March 3, 2022, of which 183 shares are scheduled to vest on each of March 3, 2024 and March 3, 2025; and (v) an award of restricted stock units granted to the reporting person on March 2, 2023, of which 159 shares are scheduled to vest on March 2, 2024 and 160 shares are scheduled to vest on each of March 2, 2025 and March 2, 2026.

2. Restricted stock units are settled with common shares on a one-for-one basis upon vesting and are subject to acceleration in certain circumstances.
