(the “Company”), a Nevada corporation, under the Securities Act of 1933, as amended (“Act”), covering the public sale by the Company as set forth in the Registration Statement of up to an aggregate of 1,500,000 shares of the Company’s common stock, par value $0.0001 per share (the “Shares”).
