Explanation of Responses:

1. Represents a grant of Restricted Stock Units ("RSUs"), which will be settled in shares of the Issuer's common stock upon vesting. 33.3% (rounded down to the nearest whole number) will vest on each of the following dates: December 8, 2024, December 8, 2025 and December 8, 2026, with any remaining unvested RSUs to vest on December 8, 2026, subject to the Reporting Person's continued service to the Issuer.
