Explanation of Responses:

1. The reported securities represent restricted stock units ("RSUs") which each entitle the reporting person to receive one share of common stock upon vesting. The RSUs will vest in three installments of 30%, 30% and 40% on the first, second and third anniversary of the grant date, respectively, subject to continued employment through each such date.

2. The reported securities will vest, assuming consummation of the Issuer's initial public offering (the "IPO"), on May 10, 2027, subject to continued employment through such date.

3. The reported securities will vest, assuming consummation of the IPO, on November 22, 2026, subject to continued employment through such date.
