The description of the securities of Big Tree Cloud Holdings Limited (the “Registrant”) registered hereunder set forth under the heading “Description of PubCo’s Securities” contained in the Registrant’s registration statement on Form F-4 (File No. 333-277882), initially filed with the U.S. Securities and Exchange Commission (the “Commission”) on March 13, 2024, as amended (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference. In addition, all of the above-referenced descriptions included in any prospectus forming a part of the Registration Statement subsequently filed with the Commission pursuant to Rule 424(b) under the Securities Act of 1933 shall be deemed to be incorporated by reference herein.
