Explanation of Responses:

1. Includes 9,833 restricted stock units ("RSUs"), granted to the Reporting Person as follows: (A) On February 23, 2023, the Reporting Person was granted RSUs representing 6,867 shares, which will be issued upon vesting and will vest annually, in substantially equal installments, over a three-year period, beginning on February 23, 2024; (B) On March 1, 2022, the Reporting Person was granted RSUs, of which 1,517 shares remain to be issued upon vesting and will vest annually, in three substantially equal installments on March 1, 2024, 2025, and 2026; (C) On March 9, 2021, the Reporting Person was granted RSUs, of which 870 shares remain to be issued upon vesting and will vest annually, in two substantially equal installments on March 9, 2024 and 2025; and (D) On March 2, 2020, the Reporting Person was granted RSUs, of which 579 shares remain to be issued upon vesting and will vest annually, with one final installment on March 2, 2024.
