Explanation of Responses:

1. These transactions represent (i) the issuance of Comtech Telecommunications Corp. common stock in lieu of cash settlements based on the achievement of pre-established non-equity incentive goals for the fiscal year ending July 31, 2024, pursuant to the 2023 Equity and Incentive Plan, and (ii) the net settlement of the common stock to withhold the Reporting Person's Federal Insurance Contributions Act ("FICA") tax and federal, state and local income taxes in connection with the award of the common stock to the Reporting Person.
