Explanation of Responses:

1. Consists of 205 shares of Offerpad Solutions Inc. (the "Issuer") Class A common stock and 600 restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Class A common stock. The RSUs vest in two equal annual installments beginning on April 4, 2024.

2. 25% of the stock option vested on April 4, 2023, and the remainder vests ratably in equal annual installments over the following three years.
