The description of ordinary shares, par value US$0.001 per share, of Hong Kong Pharma Digital Technology Holdings Limited (the “Registrant”) to be registered is set forth under the heading “Description of Share Capital” in the Registrant’s Registration Statement on Form F-1 (File No. 333-282876) originally filed with the Securities and Exchange Commission (the “Commission”) on October 29, 2024, as amended (the “Registration Statement”). Such information also will appear in the Registrant’s prospectus that forms a part of the Registration Statement to be filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, and such prospectus shall be deemed to be incorporated herein by reference.
