Explanation of Responses:

1. These securities are restricted stock units (RSUs). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. One-third of the RSUs will vest on February 26, 2025 and each one-year anniversary thereafter, subject to the Reporting Person's continued service as a member of the Issuer's Board of Directors through each such vesting date.

2. One-third of the shares subject to the option will vest on February 26, 2025 and each one-year anniversary thereafter, subject to the Reporting Person's continued service as a member of the Issuer's Board of Directors through each such vesting date.
