Explanation of Responses:

1. The securities reported are restricted stock units ("RSUs"), each of which represents the contingent right to receive one share of the Issuer's common stock, par value $0.0001 per share (the "common stock"). The RSU award will vest as follows: as consideration for services provided by the reporting person to the Issuer from March 25, 2024, to December 25, 2024, twenty-five percent (25%) of the total number of shares of common stock underlying the RSUs vested on the grant date; the remaining seventy-five percent (75%) of the total number of shares of common stock underlying the RSUs shall vest in nine (9) substantially equal quarterly installments beginning March 25, 2025, and ending March 25, 2027. Such vesting will be subject to the terms and conditions of the RSU award agreement and the Issuer's 2024 Equity Incentive Plan, including the reporting person's continuous service to the Issuer.

2. The securities reported in Column 5 of Table I are RSUs. Each RSU represents a contingent right to receive one share of common stock, subject to the applicable vesting schedule and conditions of each RSU.
