Item 1.01 Entry Into a Material Definitive Agreement.
On August 2, 2024, M3-Brigade Acquisition V Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 28,750,000 units (the “Units”). Each Unit consists of one of the Company’s Class A ordinary shares, par value $0.0001 per share (the “Class A Shares”), and one-half of one warrant of the Company (the “Warrants”), each whole Warrant entitling the holder thereof to purchase one whole Class A Share at a price of $11.50 per share, subject to adjustment as provided in the Company’s registration statement on Form S-1, initially filed with the Securities and Exchange Commission on June 5, 2024, as later amended (File No. 333-279951). The Units were sold at a price of $10.00 per unit, generating gross proceeds to the Company of $287,500,000.
In connection with the IPO, the Company entered into the following agreements previously filed as exhibits to the Company’s Registration Statement:

Item 3.02 Unregistered Sales of Equity Securities.
Simultaneously with the closing of the IPO, the Company completed the private sale (the “Private Placement”) of an aggregate of 8,337,500 private placement warrants (the “Private Placement Warrants”) at a purchase price of $1.00 per Private Placement Warrant, to the Sponsor and Cantor, generating gross proceeds to the Company of $8,337,500. The Private Placement Warrants are identical to the warrants sold as part of the Units in the IPO, except that: (1) they may not (including the Class A Shares issuable upon exercise of these warrants), subject to certain limited exceptions, be transferred, assigned or sold by the holders until 30 days after the completion of the Company’s initial business combination, (ii) are entitled to registration rights and (iii) with respect to private placement warrants held by Cantor and/or its designees, are not exercisable more than five years from the commencement of sales in this offering in accordance with FINRA Rule 5110(g)(8).

Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 31, 2024, in connection with the IPO, Mr. Frederick Arnold and Mr. Benjamin Fader-Rattner were appointed to the board of directors of the Company (the “Board”). Each of Mr. Arnold and Mr. Fader-Rattner is an independent director. Effective July 31, 2024, Mr. Arnold and Mr. Fader-Rattner were appointed to the Audit Committee of the Board, with Mr. Arnold serving as the chairman of the Audit Committee. Effective July 31, 2024, Mr. Arnold and Mr. Fader-Rattner were appointed to the Compensation Committee of the Board, with Mr. Fader-Rattner serving as the chairman of the Compensation Committee.
On July 31, 2024, in connection with their appointments to the Board, each director entered into the Letter Agreement as well as an indemnity agreement with the Company.
Other than the foregoing, none of the directors are party to any arrangement or understanding with any person pursuant to which they were appointed as directors nor are they party to any transactions required to be disclosed under Item 404(a) of Regulation S-K involving the Company.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 2, 2024, in connection with the IPO, the Company filed its amended and restated memorandum and articles of association (the “Amended and Restated Memorandum and Articles of Association”) with the Cayman Islands Registrar of Companies, which was effective on July 31, 2024. The terms of the Amended and Restated Memorandum and Articles of Association are set forth in the Registration Statement and are incorporated herein by reference. A copy of the Amended and Restated Memorandum and Articles of Association is attached as Exhibit 3.1 hereto and incorporated herein by reference.
Item 8.01 Other Events.
$288,937,500 was placed in a U.S.-based trust account with Continental Stock Transfer & Trust Company acting as trustee. Except with respect to interest earned on the funds in the trust account that may be released to the Company to pay certain taxes, if any, and up to $100,000 of interest to pay dissolution expenses, the proceeds from the IPO and the sale of the Private Placement Warrants held in the trust account will not be released from the trust account until the earliest of (1) the completion of the Company’s initial business combination, (2) the redemption of the Class A Shares sold in the IPO (the “public shares”) if the Company is unable to complete the initial business combination within 24 months from the closing of the IPO or by such earlier liquidation date as the Company’s Board of Directors may approve (the “Completion Window”), subject to applicable law, or (3) the redemption of the Company’s public shares properly submitted in connection with a shareholder vote to amend the Amended and Restated Memorandum and Articles of Association to (A) modify the substance or timing of the Company’s obligation to allow redemption in connection with the initial business combination or to redeem 100% of the Company’s public shares of the Company has not consummated an initial business combination within the Completion Window or (B) with respect to any other material provisions relating to shareholders’ rights or pre-initial business combination activity.
On July 31, 2024, the Company issued a press release announcing the pricing of the IPO, a copy of which is attached as Exhibit 99.1 to this Current Report on 8-K.
On August 2, 2024, the Company issued a press release announcing the closing of the IPO, a copy of which is attached as Exhibit 99.2 to this Current Report on 8-K.
