Explanation of Responses:

1. The exercise price of the stock options issued to the Reporting Person is equal to the closing price of the Issuer's common stock on December 6, 2024.

2. The stock options were issued to the Reporting Person on December 6, 2024 (the "Grant Date"), pursuant to the Issuer's 2022 Omnibus Incentive Plan, as amended and restated (the "Plan"). 50% of the options vest on the six-month anniversary of the grant date, and the remaining 50% vest on the one-year anniversary of the Grant Date.

3. Represents 50,000 stock options that were issued to the Reporting Person on December 6, 2024, that vest in equal halves on the six and 12 month anniversaries of the grant date, pursuant to a grant under the Plan at an exercise price of $1.19 each.
