Explanation of Responses:

1. This amendment is being filed to update the disclosure in Table I, Column 4 and 5 in the Form 4 previously filed on November 22, 2024 by the reporting company in order to disclose the amount of securities acquired, the price of securities and the amount of securities beneficially owned following GSAM Holdings LLC's $1,350,000 capital contribution. When GSAM Holdings LLC's Form 4 was initially filed on November 22, 2024, the amount of securities to be acquired was not calculable.

Remarks:

GSAM Holdings LLC, a wholly owned subsidiary of The Goldman Sachs Group, Inc. and an affiliate of the issuer's adviser, does not concede that it is subject to Section 16 of the Securities Exchange Act of 1934, as amended, in respect of the issuer.
