Explanation of Responses:

1. Each restricted stock unit represents a contingent right to one share of the Issuer's common stock. The third and final tranche (1,433 units) of the 4,300 restricted stock units granted on 8/2/12 vested on 8/2/15 and was settled in shares of common stock on 8/2/15. The grant of 4,300 restricted stock units and the vestings of the first and second tranches were previously reported.

2. Shares withheld by company to pay tax liability on vesting of restricted stock units previously awarded.
