Explanation of Responses:

1. On June 1, 2015, the reporting person was granted an option to purchase shares of common stock with vesting contingent upon (1) continuing employment through June 1, 2018, and (2) a performance condition of the achievement of full-year run rate net synergies from the Exelis Inc. acquisition. The performance condition was satisfied. As a result, on June 1, 2018, options to acquire 28,860 shares of common stock will vest. This represents 200% of the target number of options to purchase shares of common stock as the performance condition was satisfied above 133% of target full-year run rate net synergies.
