Explanation of Responses:

1. Mr. Graj will acquire 20,000 Class B ordinary shares of Shepherd Ave Capital Acquisition Corp (the "Issuer") from Aitefund Sponsor LLC, the sponsor of the Issuer, immediately prior to the closing of the initial public offering of the Issuer . Class B ordinary shares will automatically convert into Class A ordinary shares on one-for-one basis upon the consummation of an initial business combination.
