Item 1.01 Entry into a Material Definitive Agreement.
On August 28, 2020, Wesbanco, Inc. (“Wesbanco”) signed an Amendment to Loan Documents (“Amendment”) which is in reference to its Amended and Restated Committed Line of Credit Note with PNC Bank, N.A. dated August 30, 2019. This line of credit is available for general corporate purposes up to $30.0 million. The amendments include an extension of the expiration date of the line to August 28, 2021, amendments to certain definitions referencing the London Interbank Offered Rate (“LIBOR’), changes to certain financial covenants and the addition of a LIBOR Replacement Rider.
The foregoing description of the terms and conditions of the Amendment is not complete and is qualified in all respects by the actual provisions of the Amendment, a copy of which has been filed as an exhibit to this Current Report on Form 8-K and is incorporated herein by reference.
