Grant of restricted stock subject to forfeiture. 1/3 vest on each of January 26, 2025, January 26, 2026, and January 26, 2027, for so long as Reporting Person remains an employee of, or consultant to, Issuer.

2. Incentive Stock Option to purchase Common Stock of Issuer granted to Reporting Person on January 23, 2023 under the Issuer's 2021 Equity Incentive Plan and subject thereto, 1/3 vesting on each of January 23, 2024, January 23, 2025, and January 23, 2026, for so long as Reporting Person remains an employee of, or consultant to, the Issuer, and subject to the terms of a Stock Option Agreement.
