1. Restricted stock units granted under the Registrant's 2021 Management Incentive Plan. Each restricted stock unit represents the right to receive one share of the Registrant's common stock subject to the applicable vesting and settlement conditions.

2. Represents shares disposed of to the Company in exchange for cash in order to satisfy taxes upon settlement of 6,827 restricted stock units previously granted on May 31, 2022 which were settled on May 31, 2023.
