EXPLANATORY NOTE
The sole purpose of this Amendment is to (a) file with the Commission (i) the recent developments in the Republic as of September 30, 2009, included as Exhibit E hereof and (ii) the legal opinions included as Exhibits F and G hereof in accordance with the Registrant’s undertaking in the Registration Statement to furnish copies of such legal opinions as may be required (including the opinion of the Procuradoria–Geral da Fazenda Nacional) in connection with any issue of securities under the Registration Statement, and (b) amend and replace the information about Brazil contained in the section entitled “Public Finance-2008 Budget” on pages D-84 to D-86 of Exhibit D of Brazil’s Annual Report for 2008 on Form 18-K filed with the SEC on September 30, 2009.
