(b)On March 23, 2021, R. R. Harwood, a director and Senior Vice President and Chief Strategy Officer of Graybar Electric Company, Inc., announced his intention to retire, effective June 1, 2021. In connection with his retirement, Mr. Harwood will not be standing for reelection as a director at the 2021 annual meeting of shareholders.
