Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective January 23, 2013, the Board of Directors (the “Board”) of The Clorox Company elected Jeffrey Noddle and Rogelio M. Rebolledo to the Board. In addition, the Board appointed Mr. Noddle to the Board’s Management Development & Compensation Committee and appointed Mr. Rebolledo to the Board’s Audit Committee.
A press release announcing the election of Mr. Noddle and Mr. Rebolledo was issued on January 25, 2013, a copy of which is filed as Exhibit 99.1 hereto and is incorporated herein in its entirety.
