Explanation of Responses:

1. This Performance Restricted Stock Unit ("PRSU") award vests April 6, 2023 based on the relative performance of the underlying stock versus the Russell 1000 Index for the 20 trading days on and prior to April 6, 2023 versus the 20 trading day period beginning April 6, 2020. The number of shares in the table reflects the number of PRSUs at target. The actual range of PRSUs is 0-200% of the target number, depending upon what achievement, if any, results at the measurement date.
