Explanation of Responses:

1. On October 5, 2020 the Reporting Person was granted 6,067 Restricted Stock Units which will vest in three equal installments on each of October 5, 2021, October 5, 2022 and October 5, 2023. At the same time as these service-based Restricted Stock Units were granted, Performance Restricted Stock Units which can be earned based on the Company's total stockholder return in relation to the stockholder return of companies within the Russell 1000 were also granted. Performance Restricted Stock Units will be described in the Company's proxy statement and any shares earned by executive officers pursuant to such Performance Restricted Stock Units will be reported on a Form 4 in 2023 after the Compensation and HR Committee's certification of the number of shares earned.
