Item 3.02. Unregistered Sales of Equity Securities.
Pursuant to five privately-negotiated agreements dated July 3 through September 13, 2019, Coeur Mining, Inc. (the “Company”) agreed to exchange $20.0 million aggregate principal amount of its Senior Notes for 4,452,479 shares of its common stock, par value $0.01 per share (the “Shares”). The issuance of the Shares is pursuant to the exemption from the registration requirements afforded by Section 3(a)(9) of the Securities Act of 1933, as amended.
Item 8.01. Other Events.
On September 10, 2019, the Company completed its previously announced “at the market” offering of $75.0 million of its common stock, par value $0.01 per share (the “Offering”). The Offering was conducted pursuant to an Equity Distribution Agreement, entered into on August 12, 2019 between the Company and Citigroup Global Markets Inc. and BMO Capital Markets Corp. as the sales agents. The Company sold a total of 14,219,677 shares in the Offering, raising net proceeds (after sales commissions) of approximately $73.9 million.
The Company intends to use the net proceeds from the Offering to reduce outstanding indebtedness and for general working capital purposes.
