Item 1.01 Entry into a Material Definitive Agreement.
On June 4, 2009, Grubb & Ellis Company (the “Company”), announced that it completed the disposition of the Danbury Corporate Center to an affiliate of the Matrix Realty Group for $72.4 million.
The sale was effected pursuant to the merger agreement entered into by the Company, GERA Danbury LLC, a subsidiary of the Company’s wholly owned subsidiary GERA Property Acquisition, LLC, Matrix Connecticut, LLC and Matrix Danbury, LLC, as amended (the “Merger Agreement”)
The closing of the transaction, with the approval of the lenders of the Company’s credit facility, occurred on June 3, 2009 in accordance with the terms of the Merger Agreement as previously disclosed by the Company, including as disclosed in the Company’s Annual Report on Form 10K/A for the year ending 2008. The proceeds from the sale were used to pay down the Company’s revolving credit facility.
