Explanation of Responses:

1. Includes 5,180 restricted stock units, of which (i) 2,049 are scheduled to vest on February 26, 2021, (ii) 1,166 are scheduled to vest in two equal annual installments on March 4, 2021 and March 4, 2022, and (iii) 1,965 are scheduled to vest in three equal annual installments beginning on March 4, 2021.

2. This amendment is being filed to report 1,000 additional shares of Common Stock held by the reporting person that were inadvertently omitted from his Form 3 and subsequent Form 4 filed on October 16, 2020.
