This Amendment No. 1 on Form 8-A/A is filed to supplement and amend the information set forth in the Registration Statement on Form 8-A filed by JLG Industries, Inc. (the “Company”) on May 31, 2000.
Item 1. Description of Registrant’s Securities to be Registered.
On October 16, 2006, the Company and American Stock Transfer and Trust Company entered into the First Amendment (the “First Amendment”) to the Rights Agreement dated as of May 24, 2000, by and between the Company and American Stock Transfer and Trust Company (the “Rights Agreement”).
The Company entered into an Agreement and Plan of Merger dated October 15, 2006 (the “Merger Agreement”), among the Company, Oshkosh Truck Corporation (“Parent”) and Steel Acquisition Corp., a wholly-owned subsidiary of Parent. The Company entered into the First Amendment to render the Rights Agreement inapplicable to (i) the approval, execution or delivery of the Merger Agreement, (ii) the announcement of the Merger (as defined in the Merger Agreement), (iii) the consummation of the Merger or the other transactions contemplated by the Merger Agreement or (iv) the acquisition of the Company’s common stock pursuant to the Merger or the Merger Agreement. The Merger Agreement is filed as Exhibit 2.1 to the Company’s current report on Form 8-K dated October 15, 2006 and filed with the SEC on October 16, 2006.
In addition, the First Amendment provides for the termination of the Rights Agreement upon the earliest of the expiration date, redemption or immediately prior to the effective date of the Merger.
