SECTION 8—OTHER EVENTS
On April 10, 2007, a purported class action shareholder complaint entitledHenzel v. Image Entertainment, Inc., et al.was filed against Image Entertainment, Inc., a Delaware corporation (the “Company”) and certain of its officers and members of its board of directors in the Superior Court of the State of California, County of Los Angeles. The named plaintiff proposes to represent a class of the Company’s stockholders and claims, among other things, that in connection with the proposed business combination transaction with BTP Acquisition Company, LLC, the directors breached their fiduciary duties of due care, good faith and loyalty by failing to maximize stockholder value and by creating deterrents to third party offers. Among other things, the complaint seeks class action status, and a court order enjoining the consummation of the merger and directing the defendants to take appropriate steps to maximize stockholder value. While the lawsuit is in its preliminary stage, the Company believes that the claims in the lawsuit are without merit and intends to vigorously defend it.
