Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective April 29, 2008, the Shareholder of Columbus Southern Power Company, (the “Company”) amended Article VII, Section 1 of the Company’s Code of Regulations, as amended, to permit the Board of Directors to amend the Code of Regulations by a two thirds majority vote.
The foregoing description is qualified in its entirety by reference to the amendment to the Code of Regulations approved by the Shareholder, a copy of which is attached and incorporated herein as Exhibit 3.1 to this Form 8-K.
