Explanation of Responses:

1. These shares accrued as dividend equivalents on 750 restricted stock units, which were granted in 2010 and deferred until 06/30/2020.

2. Of these shares, 505.165 shares were acquired in exempt transactions as a result of dividend reinvestment and 377.760 shares accrued as dividend equivalents on deferred stock units (shares received in lieu of director retainer fees). The Issuer's stock traded in a range of $10.17 - $17.63 during 2020.
