Explanation of Responses:

1. Reflects the transfer of 12,588 shares into a trust on October 31, 2019. The transfer of shares to the trust effected only a change in form of beneficial ownership without changing Mr. Hickey's pecuniary interest in such shares and is, therefore, being voluntarily reported herein.

2. This Form 4 is being filed to report shares that the Insider purchased under the Company's Employee Stock Purchase Plan.
