The Company has encountered complications related to the completion of the accounting work related to the Company's newly acquired subsidiary and was unable to resolve those complications in time to meet the filing deadline.

   As a result of the Company's acquisition in the first quarter of 2010, the Company currently anticipates that it will report a net loss of approximately $2.5 million, for the three months ended March 31, 2010, as compared to a net loss of approximately $800,000, on revenues of $2 million, for the quarter ended March 31, 2009.
