Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 20, 2020, Gerald Kozel notified Commonwealth Edison Company (the Company) of his resignation as Vice President and Controller (Principal Accounting Officer), effective September 4, 2020. Upon the effectiveness of Mr. Kozel’s resignation, Steven Cichocki, the Company’s Director of Accounting since February 2020, will assume the role of Principal Accounting Officer. Mr. Cichocki, age 40, has served in various roles of increasing responsibility at the Company and its majority owner Exelon Corporation (Exelon) since 2008, including most recently as Director of Accounting Policy and External Financial Reporting at Exelon from October 2019 to February 2020, Senior Manager of Accounting at the Company from May 2018 to October 2019, and Senior Manager of External Financial Reporting at Exelon from June 2014 to May 2018.
