Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On October 20, 2006, Commonwealth Edison Company (ComEd), a subsidiary of Exelon Corporation (Exelon), issued a news release announcing the appointment of Edward J. Mooney and Jesse H. Ruiz to the Board of Directors of ComEd. The appointments were made on October 16, 2006. The news release is attached to this Report as exhibit 99.1.
Michele Ruiz, the spouse of Jesse H. Ruiz, is a partner of Sidley Austin LLP, a law firm that provides legal services to Exelon and ComEd. To date in 2006, Sidley Austin LLP has billed Exelon and ComEd $2.6 million for legal services. Ms. Ruiz is not involved in the performance of such services for Exelon and ComEd and she has agreed that the Exelon and ComEd billings will be excluded from the calculation of her income from Sidley Austin LLP, and accordingly neither Mr. Ruiz nor Ms. Ruiz has any interest in these transactions.
