On March 31, 2005, the Public Utility Commission of Texas ("PUCT") found that the proposed acquisition of TNP Enterprises, Inc. ("TNP") and its subsidiaries by PNM Resources, Inc. ("PNMR") is consistent with the public interest. In its finding, the PUCT approved the stipulation dated February 3, 2005 among PNMR, Texas-New Mexico Power Company, the cities of Dickinson, Lewisville, LaMarque, Fort Stockton and Friendswood, Texas, the Legal and Enforcement Division of the Public Utility Commission of Texas, the Office of Public Utility Counsel, the Texas Industrial Energy Consumers and the Alliance for Retail Markets. The stipulation outlines terms and conditions necessary for the PUCT to find that the acquisition to be consistent with the public interest. The agreement was unopposed and was filed with the PUCT on February 3. The stipulation settled all matters in the Texas regulatory proceedings relating to PNMR's acquisition of TNP. A signed order from the PUCT reflecting its finding is exp ected within the next week.The proposed acquisition also needs approval from the New Mexico Public Regulation Commission and the Securities and Exchange Commission. The Federal Energy Regulatory Commission approved the transaction on March 2, 2005.
