Explanation of Responses:

1. Restricted stock units were granted under the Company's 2000 Stock Incentive Plan, and represent the right to receive one share of common stock of Comtech Telecommunications Corp. upon vesting of the unit.

2. The restricted stock units will cliff vest on the one year anniversary of the grant, assuming continued service as a director. Shares of common stock corresponding to vested units will be delivered to the Reporting Person within 30 days of termination of directorship.

3. The filing of this statement shall not be deemed an admission that the Reporting Person is the beneficial owner of the securities reported herein for purposes of section 16 of the Securities Act of 1934, as amended, or otherwise. The Reporting Person expressly disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein.
