Item 1.01 Entry into a Material Definitive Agreement.
On January 24, 2011, February 8, 2011, February 15, 2011, February 15, 2011, February 24, 2011, and February 28, 2011, Robert Benou made advances to Conolog Corporation (the “Company”) in the amounts of $15,000, $60,000, $61,350, $30,000, $30,000 and $30,000, respectively. Mr. Benou is the chief executive officer and chairman of the Company. The advances were made by Mr. Benou to assist the Company in meeting short-term obligations. The advances are payable on demand and do not bear interest. No written agreement was entered into with respect to the advances.
