ITEM 8.01. OTHER EVENTS
On November 16, 2005, Consolidated Edison Company of New York, Inc. (the “Company”) completed, pursuant to an underwriting agreement with Credit Suisse First Boston LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. Incorporated, as representatives for the underwriters named therein, the sale of $350 million aggregate principal amount of the Company’s5.375% Debentures, Series 2005 C due 2015 (the “Debentures”). The Debentures were registered under the Securities Act of 1933 pursuant to Registration Statements on Form S-3 (No. 333-123780, declared effective May 10, 2005, and No. 333-114393, declared effective April 22, 2004) with the prospectus contained therein relating to $2.15 billion aggregate principal amount of unsecured debt securities of the Company.
